Terms of Service

1. Acceptance of Terms

By accessing or using SmartFlow360 ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you ("Client" or "User") and SmartFlow360, operated by Wagner Garcia and Thiago Neves, based in Queensland, Australia.

2. Service Description

SmartFlow360 provides the following services:

  • Social media management: Creation, scheduling, and publication of content across Facebook and Instagram;
  • Advertising strategy: AI-assisted campaign planning, audience research, creative briefs, and budget allocation;
  • Content workflow: Draft, review, approval, and publishing pipelines for client content;
  • Performance reporting: Campaign analytics, reach reporting, and strategy summaries;
  • Client portal: Secure access for clients to review and approve content before publication.

We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your credentials, all activity under your account, ensuring content you provide does not infringe third-party rights, and complying with all applicable platform policies (Meta, Google, etc.) when authorising SmartFlow360 to manage your accounts.

Notify us immediately at hello@smartflow360.io if you become aware of any unauthorised use of your account.

4. Payment Terms
  • Invoicing: Invoices are issued monthly in advance unless otherwise agreed in writing;
  • Due date: Payment is due within 14 days of the invoice date;
  • Currency: All amounts are in Australian Dollars (AUD) unless otherwise specified;
  • Late payment: Accounts overdue by more than 14 days may result in service suspension. Interest may be charged at 2% per month on overdue amounts;
  • Disputed invoices: Notify us in writing within 7 days of receipt. Undisputed portions remain due by the original due date;
  • Ad spend: External advertising spend (Meta Ads, Google Ads) is separate from management fees and is the sole responsibility of the client unless otherwise agreed.
5. Cancellation Policy
  • Notice period: A minimum of 30 days written notice is required to cancel ongoing services;
  • Notice method: Cancellation requests must be submitted in writing to hello@smartflow360.io;
  • Work in progress: Any work completed prior to the cancellation effective date remains billable;
  • Prepaid services: Fees paid in advance are non-refundable for the period already commenced, except where required by Australian Consumer Law;
  • Immediate termination: We reserve the right to terminate services immediately in cases of material breach, abusive conduct, or fraudulent activity;
  • Data export: Upon cancellation, clients may request an export of their data within 30 days. After this period, data may be deleted.
6. Intellectual Property

Content created by SmartFlow360 on your behalf is owned by you upon full payment of applicable fees. The SmartFlow360 platform, software, branding, and underlying systems remain the exclusive property of SmartFlow360.

You grant SmartFlow360 a non-exclusive licence to use your brand assets and account data solely for the purpose of delivering the agreed services.

7. Limitation of Liability

To the maximum extent permitted by law, SmartFlow360 is not liable for any indirect, incidental, or consequential loss arising from use of the Platform. We do not guarantee specific advertising results, reach, engagement, or return on investment.

Our total aggregate liability for any claim shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms excludes any right or remedy you may have under the Australian Consumer Law (ACL), including any consumer guarantee that cannot be excluded by law.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia. Both parties submit to the exclusive jurisdiction of the courts of Queensland for the resolution of any disputes.

Before initiating formal proceedings, both parties agree to attempt resolution in good faith through direct negotiation for a period of 14 days from when the dispute is first raised in writing.

9. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised date. We will provide at least 14 days notice of material changes via email to registered account holders.
